NOTICE TO EPISODE SOLUTIONS STAKEHOLDERS​

Episode Solutions and its subsidiaries (collectively, the “Company”) have ceased operations, and all assets of the Company (other than certain accounts receivable) have been sold. The Company has hired an independent third party (the “Wind Down Officer”) to oversee the collection of accounts receivable and distribute such collections to the Company’s senior secured lender until it is paid in full. If material funds are available for distribution to other stakeholders after the senior secured lender is paid in full, then the Company will consider instituting a claims process so that the funds are distributed in the statutorily-mandated priority. At this time, the Company cannot forecast whether any funds will be available to stakeholders other than the senior secured lender and will provide further notice to the extent such funds are available. The Company does not anticipate collecting all of its receivables until at least the middle of 2026. The Wind Down Officer also intends to ensure that all statutorily required filings, including tax returns, are filed on a timely basis.
